These Terms of Service ("Terms") govern your use of Write On! (the "Service"), provided by Agensii Intelligence. By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
1. Acceptance of these Terms
Using the Service — with or without an account — means you accept these Terms and our Privacy Policy. We may update these Terms from time to time; see "Changes to these Terms" below.
2. Accounts and eligibility
You can use the drawing and playback features of the Service without an account — annotations are stored locally in your browser by default. An account is only required to sync annotations across devices or use other account-gated features. You may create an account with an email and password, a magic link sent to your email, or by signing in with Google.
You must provide accurate information when creating an account and are responsible for keeping your login credentials confidential and for all activity that occurs under your account. The Service is intended for general audiences and is not directed at children under 13. If you are under the age required by your local law to consent to online services without a parent or guardian, you may not create an account.
3. Acceptable use
You agree not to:
- Scrape, crawl, or use automated means to extract data from the Service, or attempt to access it through any interface or means other than the ones we provide;
- Circumvent, disable, or interfere with any embedded video provider's terms of service, technical restrictions, digital rights management, or usage policies (for example, YouTube's Terms of Service, linked below);
- Upload, draw, or otherwise submit annotation content that is unlawful, infringing, defamatory, harassing, or that violates the rights of others;
- Interfere with or disrupt the Service, its infrastructure, or other users' access to it, including by attempting to bypass rate limits or authentication;
- Use the Service to build a competing product by copying its functionality or reverse-engineering its non-public interfaces.
We may suspend or terminate access for accounts that violate this section. See "Termination" below.
4. Your content
You own your annotations. Drawings, notes, cards, and other content you create in the Service ("Your Content") belong to you. We don't claim ownership over it.
When you turn on cloud sync, you grant us a limited license to host, store, transmit, and process Your Content solely as needed to provide the Service to you — for example, to sync it across your devices, back it up, and let you export it. This license ends when you delete Your Content or your account, subject to the retention periods described in our Privacy Policy. We do not use Your Content to train third-party models, sell it, or share it with advertisers.
You're responsible for Your Content and for having the rights necessary to create and store it, including any rights needed to annotate over or alongside video you provide a URL for or upload locally.
5. Third-party services
The Service lets you embed and play video from third-party providers, including YouTube, or your own direct video URLs. We do not host or control that video content.
If you embed a YouTube video, you are also agreeing to YouTube's Terms of Service and Google's applicable policies. We use YouTube's standard embedded player; we don't modify, obscure, or interfere with YouTube's player controls or branding, and we don't access caption data. Local video files you select never leave your device — we have no access to them.
6. Our intellectual property
The Service — including its software, design, branding, and the "Write On!" name (a working name, pending trademark clearance) — is owned by Agensii Intelligence or its licensors and is protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or branding.
7. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Agensii Intelligence will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) one hundred U.S. dollars ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Termination
You may stop using the Service or delete your account at any time from your account settings. Account deletion is user-initiated: we hold deleted account data for a 7-day grace period (in case deletion was a mistake) and then permanently delete it.
We may suspend or terminate your account if you violate these Terms, create risk or legal exposure for us, or if required by law. Where practical, we'll give you notice first.
9. Paid plans
The Service is currently free to use. We may introduce paid plans in the future (for example, for expanded cloud sync or AI features). If we do, the price, billing terms, and any additional terms for a paid plan will be presented to you before purchase, and your continued use of paid features will constitute acceptance of those terms.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or an in-app notice) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in the State of Texas, and you consent to their jurisdiction.
